There are two reasons why you need an S corporation; 1) to save
on the Social Security taxes, and 2) to obtain  limited liability. As a
business owner, you have personal, Civil Law, liabilities for
everything your assistants do, during the course of the working
day, including; crimes, malfeasance, errors and omissions.
These liabilities are mitigated if you incorporate.
